Terms and Conditions

RetortPouches.com is operated by Swiss Pac Pvt. Ltd. ("the Company"). The following Standard Terms and Conditions govern all orders and transactions made through this website, and will apply unless otherwise agreed in writing between the buyer and the Company.

1. Payment Terms

For approved credit account holders, invoices are payable in full by the last day of the calendar month following the month of invoicing. Interest at commercial rates may be charged on any amount outstanding beyond the due date, along with any legal/collection costs incurred by the Company.

For non-credit account holders, payment must be made in full (Cash on Delivery or advance payment) at the time of placing the order.

2. Prices and Quantities

All quotations are for information only and become binding once incorporated into a written order accepted by the Company. Prices are exclusive of GST and other applicable taxes. The Company reserves the right to revise prices at any time before goods are dispatched.

The Company is not responsible for any local duties, customs, freight, or taxes related to the import or delivery of goods.

For custom-printed orders, a quantity variation of up to ±45% from the ordered quantity may occur. The customer will be informed of this possibility before the order is confirmed and must pay for the actual quantity delivered — no refund or discount applies for over-run, and no additional charge is waived for under-run beyond what is invoiced.

3. Order Confirmation & Contracts

Where an order is placed without a specific delivery schedule ("call-off" order), the buyer agrees that the full ordered quantity will be accepted for delivery within one year of the order date.

The Company may suspend delivery or cancel an order if: any payment due from the buyer is overdue, the buyer is in breach of any contract term, or the buyer becomes insolvent, enters liquidation, or similar proceedings.

4. Ownership of Goods & Design

Goods remain the property of the Company until paid for in full. Until then, the Company reserves the right to recover unpaid goods.

All cylinders, dies, plates, tools, and artwork/designs created by the Company for a customer's order remain the exclusive property of the Company, along with any related intellectual property rights, regardless of whether a separate charge was made. Customers may not use, replicate, or share such artwork/design with any third party for sourcing similar packaging elsewhere.

5. Claims & Complaints

Any claim regarding a defect in the quality of goods delivered must be submitted in writing within 14 days of delivery.

Goods must not be returned without prior written agreement. A handling charge of up to 10% of invoice value may apply on returns not related to a manufacturing defect or transit damage.

Complaints regarding short delivery or transit damage must be reported within 24 hours of receipt, confirmed in writing.

Upon a valid claim, the Company may, at its discretion: replace the defective goods, accept the return and issue credit, or provide an allowance reflecting the reduced value of the defective goods.

6. Cancellations & Order Alterations

Once production has commenced or materials have been ordered, the Company may refuse a cancellation or alteration request. No confirmed order may be cancelled by the buyer except with the Company's written consent, and the buyer agrees to indemnify the Company for any resulting loss, cost, or expense.

Custom-manufactured pouches and labels cannot be cancelled once the design/artwork has been approved and production has begun.

7. Delivery & Quantities

Once confirmed, the buyer must accept delivery of goods when ready, regardless of any earlier lead-time estimate. If the buyer fails to take delivery on time, the Company may invoice the goods and charge reasonable storage, handling, and insurance costs until delivery is taken.

Redelivery attempts by the courier due to failed first delivery may incur additional charges payable by the customer.

Deliveries may be made under an "Authority to Leave" instruction; the Company is not liable for loss of parcels left under this instruction.

Actual delivered quantity on custom orders may vary by up to ±45% from the ordered quantity, and will be invoiced/credited accordingly.

8. Production Tolerances & Quality

Due to the nature of commercial manufacturing, minor variances in size, thickness, colour, and finish may occur and are considered normal trade tolerances. Where goods are supplied against a sample, the Company will endeavour to match the sample closely but cannot guarantee an exact match.

Customers must accept reasonable shade variation (typically 20–25%) in printed colours, minor registration shifts, and small "eye marks" used for machine cutting on custom pouches, as these are standard aspects of the printing and converting process.

No guarantee is made that goods are fit for any specific purpose; the buyer is responsible for confirming suitability for their intended use, including compliance with any applicable food-safety or regulatory requirements for their packed product.

9. No Right of Return in Certain Cases

Customers do not have a right to return stock or custom-printed pouches/bags and request a refund where:

  • They changed their mind and no longer want the product
  • They ordered the wrong product or provided incorrect artwork/specifications
  • The product is available cheaper or better elsewhere
  • They were already aware of the relevant characteristic (e.g., stated colour variation) before ordering
  • The product was damaged through misuse (e.g., improper opening causing creasing)
  • The issue is a result of normal wear and tear

10. Limitation of Liability

The Company will not be liable for delays or failures caused by circumstances outside its reasonable control, nor for any consequential loss arising from an unsatisfactory order.

The Company's total liability for any claim, whether in contract, tort, or otherwise, is limited to the purchase price of the goods concerned. The Company is not liable for economic loss, loss of profits, loss of business, loss of contracts, loss of goodwill, or any indirect/consequential loss.

The Company is responsible only for the value of the packaging supplied and accepts no liability for the contents packed into the pouches by the customer.

11. Intellectual Property

No warranty is given that the goods supplied do not infringe any patent, trademark, registered design, or other intellectual property right. Where goods are manufactured to a specification or artwork submitted by the buyer, the buyer agrees to indemnify the Company against any claim of infringement arising from that specification.

12. Website Use

We take reasonable care to keep information on this website accurate and up to date; however, content is provided for general guidance only and does not form part of any contract, and may change without notice.

We are not liable for any loss or damage arising from use of, or inability to use, this website, or from any errors or omissions in its content.

13. Custom Production Terms

Custom-manufactured pouches and labels, once approved, cannot be cancelled by the buyer.

Standard deposit terms: 50% deposit at the time of order confirmation, with the remaining 50% payable before the order is dispatched. The Company reserves the right to request full payment upfront for smaller order values or new/unverified customers. Deposits are non-refundable.

Customers are responsible for any costs relating to custom dies, tooling, cylinders, plates, or artwork/PDF proofs required for production.

The customer must sign off on the final proof/die-line prior to production. This sign-off confirms the customer's approval of all sizes, dimensions, and specifications shown.

Typical production lead times: Digital Printing – 4 to 6 weeks; Rotogravure Printing – 5 to 12 weeks depending on delivery mode; Label Production – 4 to 6 weeks. These timelines may be affected by factors outside our control such as shipping or customs delays.

14. Force Majeure

The Company shall not be liable for any failure or delay in supply, delivery, or performance caused by events beyond its reasonable control.

15. Governing Law

These Terms and Conditions are governed by the laws of India.
